End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (“User”, “You”, “Your”) and Focus Wave Technologies (“Company”, “We”, “Us”, or “Our”) regarding Your use of the FocusWave mobile application and related services (the “App”). By installing, downloading, or using the App, you agree to be bound by this EULA. If You do not agree, You must not install, download, or use the App.

1. License Grant

​

1.1 Subject to Your compliance with this EULA and Our Terms and Conditions, We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use the App solely for Your personal, non-commercial use.

​

1.2 This license does not constitute a sale of the App or any intellectual property rights. All rights, title, and interest in and to the App remain the exclusive property of Focus Wave Technologies and its licensors.

​

2. Intellectual Property Rights

​

2.1 The App, including all software, code, designs, trademarks, branding, databases, content, methods, and algorithms, is and shall remain Our exclusive property.

​

2.2 Nothing in this EULA grants You any ownership interest. All rights not expressly granted are reserved.

​​

3. Restrictions on Use

​

You agree not to, and not to allow any other person to:

(a) copy, reproduce, modify, adapt, translate, or create derivative works of the App;

(b) sublicense, sell, rent, lease, or otherwise transfer the App or Your rights hereunder;

(c) decompile, reverse-engineer, disassemble, or attempt to derive the source code of the App, except as permitted by applicable law;

(d) remove or alter any copyright, trademark, or other proprietary notices;

(e) use the App to create or support competing products or services;

(f) bypass, tamper with, or disable any security features or technical protections;

(g) use the App for any unlawful, fraudulent, harmful, or malicious purpose.

4. User Responsibility

​

You are solely responsible for how You use the App and for any outcomes or consequences. The App is a wellness and productivity tool, not a medical or clinical device. Decisions made based on its features are at Your own risk.

​

5. Updates and Modifications

​

We may update, patch, or modify the App at any time, which may alter or remove features. Continued use after an update constitutes acceptance of the modified App.

​

6. Termination

​

6.1 We may suspend or terminate your license immediately, with or without notice, if You:

​

• breach this EULA or Our Terms and Conditions;

• engage in conduct likely to harm Our reputation, brand, or intellectual property;

• use the App unlawfully or in a way that violates applicable laws;

• are subject to a government, regulatory, or platform provider order that requires Us to restrict Your use.

​

6.2 Upon termination, You must immediately stop using the App and delete all copies from Your devices.

​

6.3 Termination does not affect any accrued rights or obligations.

​

7. Disclaimer of Warranties

​

The App is provided “as is” and “as available.” We disclaim all warranties, whether expressed or implied, including merchantability, fitness for a particular purpose, and non-infringement.

​

8. Limitation of Liability

​

To the maximum extent permitted by law, We are not liable for:

​

• indirect, incidental, special, or consequential damages;

• loss of profits, goodwill, or data;

• unauthorized access or breaches unless caused solely by Our intentional misconduct.

​

9. Indemnification

​

You agree to indemnify and hold harmless Focus Wave Technologies, its owners, directors, employees, and affiliates from any claims, losses, or damages arising out of:

• Your breach of this EULA or the Terms and Conditions;

• Your unlawful or improper use of the App;

• Your violation of any third-party rights.

10. Governing Law and Jurisdiction

​

This EULA shall be governed exclusively by the laws of the Kingdom of Bahrain. Any disputes shall be resolved exclusively in the courts of Bahrain.

​

11. Severability

​

If any provision of this EULA is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

​

12. Entire Agreement

​

This EULA constitutes the entire agreement between You and Focus Wave Technologies regarding the App.

‏اتفاقية ترخيص المستخدم النهائي ("EULA") هذه هي اتفاقية قانونية بينك ("المستخدم"، "أنت"، "لك") وبين شركة فوكس ويف تكنولوجي ("الشركة"، "نحن"، "لنا"، أو "خاصتنا") بشأن استخدامك لتطبيق الهاتف المحمول FocusWave والخدمات ذات الصلة ("التطبيق").

‏من خلال تثبيت أو استخدام التطبيق، فإنك توافق على الالتزام بأحكام هذه الاتفاقية. في حال عدم موافقتك، يجب عليك عدم تثبيت التطبيق أو استخدامه.

‏1. منح الترخيص
‏1.1 بموجب امتثالك لهذه الشروط وأحكامها، فإننا نمنحك ترخيصًا محدودًا، شخصيًا، غير حصري، غير قابل للتحويل، وغير قابل للترخيص من الباطن، لتنزيل التطبيق وتثبيته واستخدامه للأغراض الشخصية وغير التجارية فقط.
‏1.2 لا يشكل هذا الترخيص بيعًا للتطبيق أو أي من حقوق الملكية الفكرية. جميع الحقوق والمصالح المتعلقة بالتطبيق تظل ملكية حصرية لشركة فوكس ويف تكنولوجي أو الجهات المرخصة لها.

‏2. حقوق الملكية الفكرية
‏2.1 يعد التطبيق، بما في ذلك جميع البرامج، الرموز، التصاميم، العلامات التجارية، قواعد البيانات، المحتوى، الأساليب، الخوارزميات، وجميع المكونات الأخرى، هي وستظل ملكية حصرية للشركة.
‏2.2 لا تمنح هذه الاتفاقية أي مصلحة ملكية. جميع الحقوق غير الممنوحة صراحة محفوظة.

‏3. القيود المفروضة على الاستخدام
‏أنت توافق على عدم القيام أو السماح لأي شخص آخر بالقيام بما يلي:
‏(أ) نسخ، تعديل، إعادة إنتاج، ترجمة، أو إنشاء أعمال مشتقة من التطبيق؛
‏(ب) الترخيص من الباطن، البيع، التأجير، الاستئجار، أو نقل التطبيق أو حقوقه؛
‏(ج) تفكيك الشفرة، أو إعادة الهندسة، أو محاولة استخراج الشفرة المصدرية للتطبيق، إلا إذا سمح القانون بذلك؛
‏(د) إزالة أو تغيير أي حقوق طبع ونشر أو علامات تجارية أو إشعارات ملكية أخرى؛
‏(هـ) استخدام التطبيق لتطوير منتجات أو خدمات منافسة؛
‏(و) التحايل على ميزات الأمان أو تعطيلها؛
‏(ز) استخدام التطبيق لأي غرض غير قانوني، احتيالي، ضار، أو خبيث.

‏4. مسؤولية المستخدم
‏أنت المسؤول الوحيد عن كيفية استخدامك للتطبيق وعن أي نتائج أو عواقب. التطبيق أداة للرفاهية والإنتاجية، وليس جهازًا طبيًا أو سريريًا. القرارات المتخذة بناءً على ميزاته تكون على مسؤوليتك الخاصة.

‏5. التحديثات والتعديلات
‏قد نقوم بتحديثات، تصحيحات، أو تعديل التطبيق في أي وقت، مما قد يؤدي إلى تغيير أو إزالة بعض الميزات. يعتبر استمرار استخدام التطبيق بعد هذه التحديثات موافقة للتطبيق المعدل.

‏6. الإنهاء
‏6.1 قد نقوم بتعليق أو إنهاء ترخيصك مع أو بدون إشعار إذا:
‏انتهكت اتفاقية ترخيص المستخدم النهائي هذه أو شروطنا وأحكامنا؛
‏انخرطت في سلوك من المحتمل أن يضر بسمعتنا، علامتنا التجارية، أو ملكيتنا الفكرية؛
‏استخدمت التطبيق بشكل غير قانوني أو بطريقة تنتهك القوانين المعمول بها؛
‏كنت خاضعًا لأمر حكومي، تنظيمي، أو قضائي يتطلب منا تقييد استخدامك.
‏6.2 عند الإنهاء، يجب عليك التوقف فورًا عن استخدام التطبيق وحذف جميع النسخ من أجهزتك.
‏6.3 لا يؤثر الإنهاء على أي حقوق أو التزامات مستحقة.

‏7. إخلاء المسؤولية عن الضمانات
‏يتم توفير التطبيق "هو" و"كما هو متاح". نحن نتنصل من جميع الضمانات، سواء كانت صريحة أو ضمنية، بما في ذلك القابلية للتسويق، والملاءمة لغرض معين، وعدم التعدي.

‏8. تحديد المسؤولية
‏إلى أقصى حد يسمح به القانون، نحن غير مسؤولين عن:
‏الأضرار غير المباشرة أو العرضية أو الخاصة أو التبعية؛
‏فقدان الأرباح أو البيانات الحساسة أو البيانات؛
‏الوصول غير المصرح به أو فقدان البيانات إلا إذا كان ناتجًا فقط عن سوء سلوك متعمد.

‏9. التعويض
‏أنت توافق على تعويض وحماية شركة فوكس ويف تكنولوجي، مالكيها، مديريها، موظفيها، والشركات التابعة لها من أي مطالبات، خسائر، أو أضرار تنشأ عن:
‏انتهاكك لاتفاقية ترخيص المستخدم النهائي هذه أو الشروط والأحكام؛
‏استخدامك غير القانوني أو غير السليم للتطبيق؛
‏انتهاكك لحقوق أي طرف ثالث.

‏10. القانون الحاكم والولاية القضائية
‏يخضع اتفاق ترخيص المستخدم النهائي هذا حصريًا لقوانين مملكة البحرين، ويتم حل أي نزاعات حصريًا في محاكم البحرين.

‏11. قابلية الفصل
‏إذا تم اعتبار أي حكم من أحكام اتفاقية ترخيص المستخدم النهائي هذه غير صالح أو غير قابل للتنفيذ، فإن الأحكام المتبقية تبقى سارية المفعول والتأثير بالكامل.

‏12. الاتفاق الكامل
‏تشكل اتفاقية ترخيص المستخدم النهائي هذه الاتفاقية الكاملة بينك وبين شركة فوكس ويف تكنولوجي بخصوص التطبيق.
