End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (“User”, “You”, “Your”) and Focus Wave Technologies (“Company”, “We”, “Us”, or “Our”) regarding Your use of the FocusWave mobile application and related services (the “App”). By installing, downloading, or using the App, you agree to be bound by this EULA. If You do not agree, You must not install, download, or use the App.

1. License Grant

​

1.1 Subject to Your compliance with this EULA and Our Terms and Conditions, We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use the App solely for Your personal, non-commercial use.

1.2 This license does not constitute a sale of the App or any intellectual property rights. All rights, title, and interest in and to the App remain the exclusive property of Focus Wave Technologies and its licensors.

2. Intellectual Property Rights

​

2.1 The App, including all software, code, designs, trademarks, branding, databases, content, methods, and algorithms, is and shall remain Our exclusive property.

​

2.2 Nothing in this EULA grants You any ownership interest. All rights not expressly granted are reserved.

​

3. Restrictions on Use

​

You agree not to, and not to allow any other person to:

(a) copy, reproduce, modify, adapt, translate, or create derivative works of the App;

(b) sublicense, sell, rent, lease, or otherwise transfer the App or Your rights hereunder;

(c) decompile, reverse-engineer, disassemble, or attempt to derive the source code of the App, except as permitted by applicable law;

(d) remove or alter any copyright, trademark, or other proprietary notices;

(e) use the App to create or support competing products or services;

(f) bypass, tamper with, or disable any security features or technical protections;

(g) use the App for any unlawful, fraudulent, harmful, or malicious purpose.

4. User Responsibility

​

You are solely responsible for how You use the App and for any outcomes or consequences. The App is a wellness and productivity tool, not a medical or clinical device. Decisions made based on its features are at Your own risk.

5. Updates and Modifications

​

We may update, patch, or modify the App at any time, which may alter or remove features. Continued use after an update constitutes acceptance of the modified App.

​

6. Termination

​

6.1 We may suspend or terminate your license immediately, with or without notice, if You:

​

• breach this EULA or Our Terms and Conditions;

• engage in conduct likely to harm Our reputation, brand, or intellectual property;

• use the App unlawfully or in a way that violates applicable laws;

• are subject to a government, regulatory, or platform provider order that requires Us to restrict Your use.

6.2 Upon termination, You must immediately stop using the App and delete all copies from Your devices.

​

6.3 Termination does not affect any accrued rights or obligations.

​

7. Disclaimer of Warranties

​

The App is provided “as is” and “as available.” We disclaim all warranties, whether expressed or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

​

To the maximum extent permitted by law, We are not liable for:

​

• indirect, incidental, special, or consequential damages;

• loss of profits, goodwill, or data;

• unauthorized access or breaches unless caused solely by Our intentional misconduct.

9. Indemnification

​

You agree to indemnify and hold harmless Focus Wave Technologies, its owners, directors, employees, and affiliates from any claims, losses, or damages arising out of:

• Your breach of this EULA or the Terms and Conditions;

• Your unlawful or improper use of the App;

• Your violation of any third-party rights.

10. Governing Law and Jurisdiction

​

This EULA shall be governed exclusively by the laws of the Kingdom of Bahrain. Any disputes shall be resolved exclusively in the courts of Bahrain.

​

11. Severability

​

If any provision of this EULA is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

​

12. Entire Agreement

​

This EULA constitutes the entire agreement between You and Focus Wave Technologies regarding the App.
